V. DISPUTE RESOLUTION

1. Jurisdiction and Choice of Law If there is any dispute arising out of the Websites and/or the Services/Expertise, you expressly agree that any such dispute shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

2. Exclusive Venue: You further agree and consent to the exclusive jurisdiction and venue of the state and federal courts located in Kent County, State of Delaware, for the resolution of any such dispute.

3. Arbitration Provision/No Class Action Except where prohibited by law, any and all disputes, claims, and causes of action (collectively, "Claim") arising out of or connected with the Websites and/or Services/Expertise shall be resolved individually and exclusively by final and binding arbitration under the then-current Commercial Arbitration Rules of the American Arbitration Association (“AAA”).

• The arbitration shall be held in Kent County, Delaware, unless the parties mutually agree otherwise.

• The parties shall split the arbitration fees and expenses equally.

Innovative TEK LLC may terminate your access for any reason by sending notice to you at the email address you provide or by blocking your access. All terms that by their nature may survive termination of this Agreement shall be deemed to survive such termination.
